1. General provisions

These Terms and Conditions set out the general rules governing use of the website and requests for the services presented through it.

2. Purpose of the website

The website presents Veritas Advisory, the EST™ methodology, available services, and contact and appointment options.

The information published on the website is general and informational in nature.

Accessing the website or reviewing its content does not, by itself, create a contractual relationship and does not constitute individual advisory services.

3. Clarity Session

The Clarity Session is the first step in understanding a request and determining a potential direction for collaboration.

The Clarity Session is provided free of charge.

Appointments are scheduled according to the available time slots displayed on the website.

Submitting an appointment request does not oblige Veritas Advisory to enter into a subsequent collaboration.

4. Rescheduling and non-attendance

A Clarity Session may be rescheduled if requested at least 24 hours before the scheduled time.

If the participant is unable to attend, a new appointment may be requested.

In the event of non-attendance without notice or repeated rescheduling requests, Veritas Advisory reserves the right to decline a further appointment.

5. Subsequent services

Services presented on the website, other than the free Clarity Session, are subject to a separate agreement and, where applicable, a separate contract.

The contract may specify:

• the scope of the engagement;
• responsibilities of the parties;
• duration;
• fees and payment terms;
• deadlines;
• amendment or termination conditions;
• cancellation or refund terms, where applicable;
• confidentiality obligations.

Displaying a service on the website does not constitute automatic acceptance of an engagement by Veritas Advisory.

6. Payment

The Clarity Session is free of charge and does not create any payment obligation.

For other services, fees and payment terms are established before the engagement begins and, where applicable, are set out in a separate contract.

Where online payment is used, the applicable conditions are communicated to the client before payment is made.

7. Roles and responsibilities

Veritas Advisory provides analysis, structuring, recommendations, mentoring and progress review within the scope of the agreed service.

The client:

• makes decisions;
• allocates resources;
• leads implementation;
• provides access to the information required;
• is responsible for the accuracy of the information supplied and for decisions made.

Veritas Advisory does not assume the day-to-day management of the client's company and does not implement decisions on the client's behalf unless expressly agreed otherwise in a contract.

8. Results of the engagement

Recommendations are based on the information available and the circumstances analyzed.

Veritas Advisory does not guarantee specific commercial, financial or operational results, as such results depend, among other factors, on the client's decisions, available resources, market conditions and implementation.

9. Intellectual property

The website content, texts, structure of materials, Veritas Advisory identity elements, the EST™ methodology, working materials, tools and proprietary documents are protected under applicable law.

Without prior written authorization, copying, reproducing, distributing, publishing, modifying, commercially using, or presenting protected content as one's own methodology or material is prohibited, except where expressly permitted by law.

What we do not publish

To protect intellectual property, the website does not publish in full:

• diagnostic questions;
• working tools;
• templates;
• formulas;
• internal registers;
• criteria used to select EST™ tools;
• other internal materials used within the methodology.

These elements form part of Veritas Advisory's professional know-how and proprietary methodology.

10. What EST™ is not

EST™ is not:

• interim management;
• day-to-day management of the client's team;
• regulated legal, tax, accounting or financial audit;
• psychotherapy;
• generic motivational coaching.

The EST™ methodology does not replace regulated professional services that, under applicable law, require specific authorization, licensing or professional qualifications.

11. Confidentiality

Information provided during the assessment and collaboration process is treated with discretion in accordance with contractual terms and the Privacy Policy.

Users should not submit sensitive information or confidential documents through public forms unless specifically requested.

12. External content and services

The website may contain links to external services or resources.

Veritas Advisory does not control the content, availability or policies of external services.

13. Website availability

Reasonable efforts are made to maintain the proper operation and security of the website.

Access may be temporarily interrupted for maintenance, updates, technical issues or circumstances beyond the operator's control.

14. Changes to these Terms and Conditions

Veritas Advisory may update these Terms and Conditions to reflect legal, technical or operational changes.

15. Governing law

These Terms and Conditions are governed by the laws of the Republic of Moldova.

Any disagreement will first be addressed through an attempt at amicable resolution.

If an amicable resolution cannot be reached, disputes will be submitted to the competent courts of the Republic of Moldova in accordance with applicable law.
